Terms of Service

These Terms of Service (the “Terms”) constitute a binding legal agreement between you (the “Client,” “you” or “your”) and TrueInception Pvt Ltd (“TrueInception,” “we,” “us” or “our”).

By accessing our website, submitting an enquiry, accepting a proposal or otherwise using our Services, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.

• “Services” means the website, consultations, proposals, and the software development, DevOps, cloud, product innovation / R&D, training and related services TrueInception provides.
• “Engagement” means a specific project or scope of work agreed between you and TrueInception, typically described in a proposal, statement of work (SOW) or order form.
• “Deliverables” means the software, code, documentation, designs and other materials we create and deliver to you under an Engagement.
• “Client Data” means data, content and materials you provide to us, or that we process on your behalf, under an Engagement.
• “Fees” means the amounts payable for the Services as set out in the applicable proposal, SOW or invoice.

TrueInception provides technology services that enable you to:

• Build custom web and mobile applications, APIs and backend systems.
• Set up and manage DevOps pipelines and cloud infrastructure (AWS, Azure, GCP).
• Prototype, validate and launch products through innovation and R&D engagements.
• Access training and internship programs and mentorship.

The specific scope, timeline, team and Fees for any work are defined in the applicable proposal or SOW. We continuously improve our offerings and may add, modify or remove parts of our website or general service catalogue at any time; this does not affect the agreed scope of an active Engagement.

• You must be at least 18 years old and capable of entering into a binding contract.
• You agree to provide accurate, current and complete information and to keep it up to date.
• You are responsible for any credentials we provide for project tools or environments, and for activity that occurs under them.
• Notify us immediately at info@trueinception.in if you suspect any unauthorised use of project access we have granted.

Most work begins with a discovery conversation followed by a written proposal or SOW. An Engagement is formed when you accept a proposal in writing (including by email) or pay an applicable deposit / invoice. To deliver work effectively, you agree to:

• Provide timely access to information, stakeholders, accounts and approvals reasonably required for the Engagement.
• Designate a point of contact authorised to give feedback and approvals.
• Review and respond to deliverables and requests within agreed timeframes; delays on your side may shift timelines and costs.

Changes to an agreed scope (a “change request”) may affect timeline and Fees and will be confirmed in writing before we proceed.

You agree NOT to use the Services to:

• Violate any applicable law, regulation or third-party right.
• Infringe intellectual-property rights or misappropriate confidential information.
• Upload or process malware, ransomware, or any content designed to defraud or harm others.
• Build, distribute or operate illegal goods or services, or content prohibited by applicable law.
• Harass, intimidate, threaten or discriminate against any person or group.
• Reverse-engineer, resell or sublicense the Services or our tools except as expressly permitted.
• Interfere with the operation, security or integrity of our website or systems.

We may suspend or decline work that, in our reasonable judgement, violates these Terms or exposes TrueInception to legal, security or reputational risk.

7.1 Fees

Fees are set out in the applicable proposal, SOW or invoice and may be fixed-price, time-and-materials, retainer or milestone-based as agreed. Unless stated otherwise, quoted Fees are valid for 30 days.

7.2 Invoicing & payment terms

• Invoices are payable within the period stated on the invoice (typically 7–15 days) unless otherwise agreed.
• We may require an advance deposit or milestone payments before commencing or continuing work.
• Retainers and subscription-style services are billed in advance for each period.

7.3 Late payment

If a payment is overdue, we may pause work and withhold deliverables until the balance is cleared. Invoices outstanding beyond 30 days may be subject to a reasonable late fee and may be pursued under Indian law.

All prices are in Indian Rupees (₹) and are exclusive of applicable taxes (including GST), unless stated otherwise. You are responsible for paying any taxes, duties, withholdings or government charges levied on your purchase of the Services, except for taxes based on TrueInception’s net income.

If you are required by law to deduct any tax from a payment to TrueInception, you must gross-up the payment so that we receive the full invoice amount, and provide a valid tax-deduction certificate.

• Deposits and Fees for work already performed are non-refundable.
• You may cancel an Engagement with written notice; you remain liable for work completed and committed costs up to the effective cancellation date.
• Service not delivered: if we materially fail to deliver agreed Services for reasons attributable to TrueInception, you may request a remedy within 15 days by emailing info@trueinception.in. We may request details to validate the claim.
• Goodwill exceptions: we may issue discretionary refunds in exceptional cases.

Our website, brand, pre-existing tools, frameworks, libraries and know-how (“TrueInception IP”) are owned by TrueInception or its licensors and are protected by intellectual-property laws. Nothing in these Terms transfers TrueInception IP to you except a limited licence to use it as embedded in the Deliverables.

Unless an Engagement states otherwise, ownership of the bespoke Deliverables created specifically for you transfers to you upon full payment of the related Fees. We may retain and reuse general skills, experience and non-client-specific components. The TrueInception name and logo are our trademarks and may not be used without our prior written consent.

You retain all rights, title and interest in and to your Client Data. You grant TrueInception a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Client Data solely as necessary to provide the Services, comply with law, and enforce these Terms.

You are solely responsible for the accuracy, quality, legality and integrity of Client Data and for obtaining all necessary consents. If you provide feedback or suggestions about the Services, you grant TrueInception a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including improving the Services.

Each party may have access to confidential information of the other (including non-public business plans, technical information, data and pricing). Each party agrees to:

• Use confidential information only as necessary to perform under these Terms.
• Protect confidential information using at least reasonable care.
• Not disclose confidential information to third parties, except to employees, advisors and sub-processors bound by similar obligations on a need-to-know basis.

These obligations do not apply to information that is public, independently developed, rightfully received from a third party without breach of confidence, or required to be disclosed by law.

The Services may rely on or integrate third-party platforms (for example, cloud providers, payment gateways and open-source software) that are governed by their own terms. We are not responsible for the availability, performance or actions of third parties. If a third party restricts, changes or terminates a service we depend on, corresponding features of an Engagement may be affected.

We will perform the Services with reasonable skill and care. Except as expressly stated in these Terms or an Engagement, the Services and any website content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

We do not warrant any specific business outcome, ranking, revenue or result from the Services or Deliverables.

To the maximum extent permitted by law, in no event shall TrueInception, its affiliates, officers, employees or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, lost data, business interruption or loss of goodwill, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

TrueInception’s aggregate liability for all claims arising out of or relating to these Terms, regardless of the form of action, shall not exceed the total Fees actually paid by you to TrueInception for the Engagement giving rise to the claim in the twelve (12) months preceding the event.

You agree to defend, indemnify and hold harmless TrueInception, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorney’s fees) arising out of or connected with:

• Your use of the Services in violation of these Terms or applicable law.
• Your Client Data, including any claim that it infringes a third party’s rights or that you lacked the consent required to process it.
• Your use, deployment or operation of the Deliverables after delivery.

17.1 By you

You may terminate an Engagement on written notice as provided in the applicable proposal or SOW. You remain liable for work completed and committed costs up to the effective termination date.

17.2 By TrueInception

We may suspend or terminate the Services immediately if:

• You materially breach these Terms or the Acceptable Use policy in Section 6.
• You fail to pay amounts due after a 7-day cure period.
• Your use poses a security, reputation or legal risk to TrueInception or others.
• Required by law, court order or instruction from a competent authority.

17.3 Effect of termination

Upon termination: (a) your right to access the Services ends; (b) you remain liable for all Fees accrued before termination; (c) on full payment, we will hand over Deliverables completed to date; and (d) sections that by their nature should survive (including Confidentiality, IP, Client Data, Disclaimers, Liability, Indemnity and Governing Law) shall survive.

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, fires, floods, network or power failures, strikes, pandemic, or actions or omissions of third-party providers.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to mandatory consumer-law protections, the courts at Nashik, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

The parties agree to attempt in good faith to resolve disputes through negotiation before initiating any legal proceedings.

We may revise these Terms from time to time. The most current version will always be posted on this page with the “Last updated” date refreshed. For material changes we will provide reasonable advance notice. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of them.

• Entire agreement. These Terms, together with the Privacy Policy and any proposal, SOW or DPA executed between us, constitute the entire agreement regarding the Services and supersede all prior agreements.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Failure or delay in exercising any right does not operate as a waiver of that right.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
• Independent contractors. The parties are independent contractors; these Terms do not create a partnership, joint venture or agency relationship.
• Notices. Notices to TrueInception must be sent to info@trueinception.in.
